RELEASE OF LIABILITY, WAIVER OF CLAIMS, ASSUMPTION OF RISK, AND INDEMNITY AGREEMENT
This Release of Liability (the “Agreement”) is entered into by the undersigned (“Participant”) in favor of Premier Park One LLC (“Company”), Rod Jacques Basketball Academy (“RJBA”), their owners, officers, directors, employees, agents, contractors, affiliates, successors, and assigns, as well as all affiliated and related entities or businesses under common ownership or control (collectively, the “Released Parties”).
GENERAL LEGAL FRAMEWORK
1. Assumption of Risk
The Participant acknowledges and understands that use of the facilities, equipment, courts, fields, and participation in sports, training, fitness, recreational, or other activities at Premier Park One LLC, located at 12372 Mustang Road, Willis, Texas 77378 involves inherent risks of injury, illness, or property damage, including but not limited to slips, falls, collisions, equipment failure, and actions of others. The Participant voluntarily assumes all such risks, whether known or unknown.
2. Release and Waiver
In consideration for being permitted to enter and/or use the facilities of Premier Park One LLC, the Participant hereby releases, waives, and discharges Premier Park One LLC, RJBA, and the Released Parties from any and all liability, claims, demands, actions, or causes of action arising out of or related to any loss, damage, or injury (including death) that may be sustained by the Participant or their property, whether caused by negligence of the Released Parties or otherwise.
3. Indemnification
The Participant agrees to indemnify, defend, and hold harmless Premier Park One LLC, RJBA, and the Released Parties from any and all loss, liability, damage, or costs (including attorneys’ fees and expenses) arising out of the Participant’s use of the facilities or participation in activities, whether caused by negligence of the Released Parties or otherwise.
4. Medical Authorization
In the event of injury or illness, the Participant authorizes Premier Park One LLC to secure necessary medical treatment. The Participant accepts full financial responsibility for such care.
5. Governing Law
This Agreement shall be governed by and construed under the laws of the State of Texas.
6. Acknowledgment of Understanding
The Participant acknowledges that they have read this Agreement, fully understand its terms, and voluntarily sign it. The Participant understands they are giving up substantial legal rights, including the right to sue.
PRIVATE PROPERTY & OWNERSHIP
7. Private Property and Ownership Disclaimer
Premier Park One LLC is a privately owned sports complex and is not owned, operated, or affiliated with the City of Willis, Montgomery County, the State of Texas, or any governmental entity. The facility is private property and access is granted solely at the discretion of Premier Park One LLC.
Premier Park One LLC reserves the right to refuse access to any individual or group at any time and for any reason deemed appropriate by management. Property shall be protected at the discretion of the owners and their designated representatives.
The manner in which vehicles arrive, depart, or are operated on or near the premises is the sole responsibility of the driver and vehicle owner. Premier Park One LLC, RJBA, and any affiliated sports clubs, academies, leagues, or businesses shall not be held responsible for the conduct of drivers or vehicles on or off the property.
The business operations of RJBA, affiliated sports clubs, academies, leagues, or other entities operating within Premier Park One LLC do not constitute or imply any direct reflection, liability, or responsibility upon the landowner, facility owners, or their affiliates.
FACILITY CONDUCT & SAFETY RULES
8. Rules and Conduct
The Participant agrees to comply with all posted rules, regulations, and instructions of Premier Park One LLC staff. Failure to do so may result in removal from the premises without refund.
9. Code of Conduct – Zero Tolerance
Premier Park One LLC maintains a zero-tolerance policy regarding racial, discriminatory, abusive, or aggressive conduct. Any such behavior, whether directed at participants, coaches, referees, spectators, or staff, will result in immediate removal from the facility without refund, and may also result in suspension from future events or activities.
10. Drug-, Alcohol-, and Tobacco-Free Facility
Premier Park One LLC is a drug-, alcohol-, and tobacco-free facility in accordance with Texas laws. The possession, use, or distribution of illegal drugs, controlled substances, alcohol, tobacco products, e-cigarettes, or vaping devices is strictly prohibited on the premises.
Any violation of this policy may result in immediate removal from the facility, forfeiture of any fees paid, and possible referral to law enforcement authorities.
11. Firearms and Weapons Disclaimer
For the safety of all participants, staff, and guests, firearms, weapons, and other dangerous instruments are strictly prohibited on the premises of Premier Park One LLC, except as expressly permitted by applicable Texas law. Any violation of this policy may result in immediate removal from the facility and referral to law enforcement authorities.
12. Facility Restrictions
For the safety and enjoyment of all guests, outside chairs and coolers are not permitted inside the facility. Premier Park One LLC provides designated seating and concessions to meet participant and guest needs.
13. Facility Equipment Settings
Participants, guests, and visitors are not permitted to adjust air conditioning thermostats, fan controls, or other facility equipment settings. Any needed adjustments must be requested from Premier Park One LLC management.
14. Pets and Animals
For the safety and comfort of all guests, pets and animals are not permitted inside the facility. The only exceptions are: (1) Service animals as defined by the Americans with Disabilities Act (ADA); and (2) Animals expressly authorized by written consent from Premier Park One LLC management.
Any unauthorized animals brought onto the premises may result in removal of the Participant and the animal.
15. Parking Lot and Personal Belongings
The Participant acknowledges that all vehicles, personal property, and belongings are brought onto Premier Park One LLC premises at the sole risk of the owner. Premier Park One LLC shall not be responsible for theft, loss, or damage to any vehicle, its contents, or any personal belongings.
Guests are required to drive slowly and cautiously in the parking lot, obey posted signs, and watch for pedestrians at all times. Failure to operate a vehicle safely on the premises may result in removal from the facility and/or referral to law enforcement authorities.
16. Video Surveillance
The Participant acknowledges and agrees that the exterior areas, courts, concessions, and other common areas of Premier Park One LLC are monitored by video surveillance for security and safety purposes. By entering the premises, all Participants and guests consent to such monitoring and recording. Video footage may be used by Premier Park One LLC for operational, safety, or legal purposes, including cooperation with law enforcement authorities if necessary.
17. Security Personnel
The Participant acknowledges and agrees that Premier Park One LLC reserves the right, at its sole discretion, to employ or contract armed or unarmed security personnel for any event, activity, or function held on its premises. Such security measures are for the protection of participants, guests, staff, and property, and by entering the facility, the Participant consents to the presence of security personnel as deemed necessary by Premier Park One LLC management.
FACILITY SERVICES & DISCLAIMERS
18. Accessibility / ADA Notice
The Participant acknowledges that due to ongoing construction and phased development, certain areas of the facility may not yet be fully compliant with the Americans with Disabilities Act (ADA). Premier Park One LLC is committed to providing equal access and reasonable accommodations. Participants who require assistance or accommodation should promptly notify Premier Park One LLC staff, who will make every reasonable effort to provide support and ensure access.
19. Water Supply and Concessions
The Participant acknowledges that any on-site water available at Premier Park One LLC is non-potable and not intended for drinking. Drinking water should only be obtained from sealed bottled water or beverages purchased through the facility’s snack bar.
Premier Park One LLC does not produce or provide ice for participants or guests. However, the facility will maintain a limited number of frozen gel wraps that may be offered for minor relief of sports-related soreness upon request.
Premier Park One LLC does not provide medical treatment, medical supplies, or medical equipment, and assumes no responsibility for diagnosing or treating any injury or medical condition.
20. Snack Bar & Food Disclaimer
Premier Park One LLC provides snacks, candy, and beverages that are supplied by vendors and deemed fresh at the time of delivery. Premier Park One LLC will take reasonable and responsible efforts to ensure food and beverages are served in a safe and fresh condition to the end consumer.
Notwithstanding these efforts, Premier Park One LLC shall not be held liable for any foodborne illness, choking, or adverse reaction arising from the consumption of any food, candy, or beverage purchased or consumed on the premises.
The responsibility for managing food allergies, dietary restrictions, and personal health conditions rests solely with the consumer. Participants and guests are strongly encouraged to review ingredient labels and exercise personal caution when consuming any food or beverages from the snack bar.
21. Lost or Left-Behind Items
Premier Park One LLC is not responsible for personal items lost, left behind, or misplaced on the premises. Items turned in to management will be held for a limited and undisclosed period of time. If not claimed within that period, such items shall be considered the property of Premier Park One LLC, and may be discarded or repurposed at the facility’s discretion.
PROPERTY PROTECTION & PROPRIETARY RIGHTS
22. Property Protection and Theft
The Participant acknowledges that all equipment, furnishings, and property at Premier Park One LLC are the exclusive property of Premier Park One LLC and its affiliates. Any destruction, vandalism, or theft of facility property or equipment is strictly prohibited and will result in immediate removal from the facility, financial liability for all damages, and prosecution to the fullest extent of the law.
23. Proprietary Information, Sponsorships, and Confidentiality
Premier Park One Sports Complex is a proprietary entity. Its business model, operational methods, programs, and activities — including but not limited to camps, leagues, academies, club teams, training sessions, sponsorship arrangements, funding partnerships, marketing materials, and facility operations — are the confidential and proprietary property of Premier Park One LLC and its affiliates.
By participating in or attending activities at the facility, the Participant acknowledges and agrees that such proprietary information, including the identity of and arrangements with sponsors, donors, and funding partners, is confidential and shall not be copied, reproduced, disclosed, or used for any purpose outside of participation at Premier Park One LLC without prior written consent from Premier Park One LLC.
The Participant further agrees not to interfere with, solicit, or attempt to replicate Premier Park One LLC’s sponsorships, funding relationships, or business operations. Any unauthorized disclosure, misuse, or interference with proprietary information, sponsorships, or funding arrangements may result in removal from the facility and potential legal action.
24. Employee and Coach Confidentiality / Non-Disclosure Agreement (NDA)
All employees, coaches, trainers, and staff of Premier Park One LLC, RJBA, or any affiliated entity are subject to confidentiality and non-disclosure agreements (NDA) regarding the business operations, training methods, participant information, sponsorships, funding relationships, and proprietary activities of the facility.
By participating in activities at Premier Park One LLC, the Participant acknowledges that employees, coaches, and staff are not authorized to disclose or discuss proprietary information outside the scope of their duties. Likewise, Participants and their families agree not to solicit employees or coaches for competing programs, or to seek to obtain confidential methods, materials, or sponsor information for use outside Premier Park One LLC.
Any violation of these confidentiality and NDA obligations by employees, coaches, staff, or Participants may result in termination of involvement, removal from the facility, and potential legal action.
ACCESS, SCHEDULING & REFUNDS
25. Right to Refuse Service, Scheduling, and Force Majeure
Premier Park One LLC reserves the right to refuse service or deny entry to any individual or group at its sole discretion in order to protect the safety, integrity, and operations of the facility.
Premier Park One LLC does not guarantee the availability of floor space, courts, or specific time slots for practices, games, or other activities. Cancellations, rescheduling, or rollover practices and games will be addressed on a case-by-case basis at the sole discretion of Premier Park One LLC management.
The Participant acknowledges that events such as weather conditions, power outages, emergencies, or other force majeure circumstances beyond the control of Premier Park One LLC may impact the scheduling, availability, or continuation of activities. Premier Park One LLC shall not be held liable for disruptions caused by such events.
26. Refund Policy
All fees and payments made to Premier Park One LLC, including but not limited to day passes, door admissions, team fees, tournament fees, event entry fees, membership dues, monthly dues, camps, clinics, skills sessions, drills, academies, or training programs, are non-refundable and non-transferable.
Premier Park One LLC shall have no obligation to issue any refund, credit, or rollover for cancellations, schedule changes, modifications, or disruptions of any kind, whether caused by the Participant, weather conditions, force majeure events, or any other circumstances beyond the control of Premier Park One LLC.
Any exception to this policy shall be made solely at the discretion of Premier Park One LLC management, and such decision shall be final and binding.
FACILITY VALUES & POLICIES
27. Facility Values and Policies
Premier Park One LLC maintains a strict policy of non-discrimination. No Participant, guest, employee, or applicant shall be subjected to discrimination on the basis of race, ethnicity, national origin, color, religion, sex, sexual orientation, or gender identity.
Premier Park One LLC enforces a zero-tolerance policy against sexual harassment or any form of harassment within its programs, activities, or employment relationships.
Premier Park One LLC reserves the right to refuse employment, deny applications, or terminate employment at its sole discretion if an applicant or employee engages in harassment, discrimination, or otherwise fails to uphold the values and standards under which Premier Park One LLC chooses to operate.
Premier Park One LLC acknowledges and permits prayer and worship on its premises. Individuals who object to such practices are encouraged to select another venue for their activities or recreation.
Premier Park One LLC does not condone or provide unisex restrooms. Restroom facilities will remain designated for male and female use separately.
Premier Park One LLC expresses full support for the servicemen and servicewomen, veterans, and soldiers who have sacrificed and fought for the freedoms enjoyed in the United States.
Participants, organizations, and groups shall not attempt to reserve facility space or bookings for activities or events that conflict with the mission, values, or standards of Premier Park One LLC. Any such requests may be denied at the sole discretion of Premier Park One LLC management.
If the Participant is under 18 years of age, this Agreement must be signed by a parent or legal guardian, who agrees to the terms on behalf of the minor.
Upon execution of this Agreement, the Participant acknowledges and agrees that this Release of Liability shall extend to and fully protect Premier Park One LLC, Rod Jacques Basketball Academy (RJBA), and all affiliated entities, companies, members, officers, directors, shareholders, employees, agents, contractors, representatives, successors, and assigns.
The Participant further acknowledges that this Agreement is binding upon themselves, their heirs, executors, administrators, and assigns, and shall remain in full force and effect for all future participation at or attendance within Premier Park One LLC facilities and events.
